These Terms and Conditions (“Terms”) govern your access to and use of our store and the purchase of products from Novera Luxe Inc. (“Novéra,” “we,” “us,” or “our”). By accessing the Site, placing an order, or using our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase our products.

Eligibility

You must be at least the age of majority in your jurisdiction (18 or 19 depending on location) and have legal capacity to enter a binding contract. By ordering, you represent that you meet these requirements.

Products and Availability

We describe products as accurately as possible; imagery is illustrative and minor variations may occur. We may limit order quantities, refuse or cancel orders, and discontinue products at any time. Prices are shown in CAD (and USD where applicable) and may change without notice, but changes will not affect orders already placed and confirmed.

Ordering and Acceptance

Placing an order is an offer to purchase at the listed price. Your order is accepted when we send an order confirmation email, which creates a binding contract. We may decline orders that appear fraudulent, violate these Terms, or exceed reasonable limits; if we decline after payment, we refund the full amount promptly.

Payment

We accept the payment methods listed at checkout, processed by Shopify Payments and its affiliates. You represent that you are authorized to use your payment method. Prices are exclusive of applicable taxes, calculated at checkout; shipping fees are displayed before payment.

Shipping, Returns & Refunds

Shipping is governed by our Shipping Policy and returns/refunds by our Refund & Return Policy, both incorporated into these Terms. Risk of loss and title pass to you upon delivery to the carrier.

Product Use, Safety, and No Medical Claims

Novéra products are cosmetics for external topical use only — not drugs, and not intended to diagnose, treat, cure, or prevent any disease. Perform a patch test before first use per our Product Safety & Allergy Disclosure. Discontinue use and consult a healthcare professional if you experience an adverse reaction, or before use if pregnant, nursing, with a known skin condition, or taking skin-affecting medication.

Intellectual Property

All Site content — text, images, graphics, logos, packaging designs, the “Novéra” name, the “Gemstone Infusion” mark, and the tagline “Born from Earth. Perfected by Science.” — is owned by or licensed to Novera Luxe Inc. and protected by Canadian and international IP laws. You may view, download, and print content for personal, non-commercial use only. Unauthorized commercial use may result in legal action.

User Conduct

You agree not to use the Site unlawfully; interfere with or disrupt it; attempt unauthorized access; use automated means except standard search indexing; submit false information; or reverse-engineer any part of the Site.

User-Submitted Content

If you submit reviews, photos, or comments, you grant Novéra a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, and display that content in connection with our business, including marketing. You represent you own or have the rights to it. We may remove user content at our discretion.

Disclaimers

Except as expressly set out or required by law, the Site and products are provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing limits warranties or remedies that cannot be excluded under applicable consumer protection legislation, including the Ontario Consumer Protection Act.

Limitation of Liability

To the maximum extent permitted by law, Novera Luxe Inc. and its directors, officers, employees, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Where liability cannot be excluded, total cumulative liability shall not exceed the greater of the amount you paid for the product giving rise to the claim or CAD $100. Nothing limits liability for fraud, fraudulent misrepresentation, personal injury caused by negligence, or any liability that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless Novera Luxe Inc. and its affiliates from claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site or products.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Disputes shall be brought exclusively in the courts of Ontario, and you submit to their jurisdiction. Mandatory consumer protection rights in your local jurisdiction are preserved.

Changes, Severability, Entire Agreement

We may update these Terms; the “Last updated” date reflects the latest revision, and continued use after changes take effect constitutes acceptance. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Refund, Shipping, and Privacy Policies and the Product Safety Disclosure, constitute the entire agreement and supersede prior agreements.
